Andrew is a partner at Torkin Manes with more than 25 years’ experience advising domestic and international clients on corporate and commercial matters. He has particular expertise in cross-border commercial transactions, including Canadian market entry and the acquisition and sale of Canadian businesses.

As head of the Firm’s Corporate Finance Group, Andrew leads teams on public and private financings, corporate reorganizations, M&A, securities and commercial transactions. Clients rely on his practical, strategic advice to structure and complete business-critical transactions, including those in highly regulated sectors.

Having advised on cannabis-related matters since before legalization in Canada, Andrew is a go-to resource for industry clients. He helps clients obtain retail and federal licences and advises on structuring, regulatory, securities and cross-border matters. His work in this rapidly evolving sector has given him practical insight into emerging regulatory frameworks, including licensing and compliance, product labelling and advertising restrictions, distribution and direct-to-consumer considerations, and the business impact of legislative and policy changes. Andrew also supports Canadian, US and European clients in structuring their businesses, preparing offering materials and raising capital. His understanding of the evolving Canadian and US regulatory landscape, together with his extensive network, helps clients make meaningful industry connections.

In the healthcare sector, Andrew acts for several regulated health professionals. Throughout his career, he has completed numerous acquisitions, dispositions, reorganizations, and public and private financings involving healthcare businesses with enterprise values exceeding $1 billion.
