Andrew J. Wilder

Andrew is a partner at Torkin Manes, where he brings more than 25 years’ experience on a broad scope of corporate and commercial matters, focusing his practice on various M&A and corporate finance activities. He represents domestic and international clients in many sectors, including cannabis, healthcare, investment banking, tech, consulting, advertising, social media and insurance. Andrew has considerable expertise in cross-border transactions and is regularly engaged by US clients seeking to acquire Canadian businesses.

As head of the Firm’s Corporate Finance Group and a trusted advisor to both early stage and established businesses, Andrew skillfully leads and manages teams in structuring and executing public and private corporate finance, corporate reorganizations, M&A and securities transactions. Clients turn to him for strategic guidance and counsel on potential acquisitions, divestitures and corporate finance matters to ensure that they are structured properly and closed effectively.

Having worked on cannabis-related legal matters since before the industry was legalized in Canada, Andrew has become a go-to resource to clients within the cannabis industry. He helps clients obtain retail and federal licenses, and frequently provides structuring, regulatory, securities and cross-border advice to a multitude of industry participants. His corporate finance knowledge is invaluable to Canadian, US and European clients who are structuring their businesses and creating offering materials to raise capital from investors. Andrew’s understanding of the complex and rapidly changing regulatory framework across Canada and the US, coupled with his extensive network, is a value-add for clients and contacts looking for meaningful introductions in the cannabis industry.

In the healthcare sector specifically, Andrew currently acts for a number of regulated health professionals, and throughout his career, has completed many acquisitions and dispositions, reorganizations, and public and private financings of healthcare businesses with enterprise values exceeding one billion dollars.

He invests substantial time immersing himself in his clients’ organizations and the industries in which they operate to ensure the legal counsel he delivers optimally responds to their needs and helps them achieve their objectives.
